End User License Agreement (EULA)
1. Grant of Software License
This End User License Agreement (“EULA” or “Agreement”) is a binding legal contract between you (“User” or “you”) and GitPlace (“GitPlace”, “we”, “us”, or “Licensor”).
Subject to the terms of this Agreement, Licensor hereby grants you a personal, non-exclusive, non-transferable, revocable and limited license to download, install and use the GitPlace Visual Studio Code Extension (the “Software”) strictly for your personal or internal development purposes in accordance with its documentation.
2. Preservation of User Code & Content Ownership
You retain 100% full, exclusive ownership of all your intellectual property, repositories and source code.
GitPlace does not claim, acquire, or hold any ownership rights, title, or interest in or to your source code, Git repositories, commit history, branch names, file contents, environment files, local configurations, or any derivative works created through the use of the Software.
Because GitPlace operates on a local-first architecture, no broad, perpetual, or irrevocable license is granted by you to GitPlace regarding your source code or workspace content.
3. License Restrictions
Except as expressly permitted by applicable law, you agree not to:
- Modify, adapt, translate, reverse engineer, decompile, or disassemble the binary distributions of the Software;
- Sublicense, rent, lease, distribute, or commercially resell the Software to third parties without prior written consent;
- Circumvent or disable any security features, technical limitations, or access controls within the Software;
- Use the Software in violation of any applicable local, national, or international laws, export regulations, or third-party repository terms.
4. User Responsibilities & Backup Obligations
The Software executes local Git worktree and workspace commands on your machine. You remain solely responsible for maintaining adequate, independent and verified backups of your Git repositories, uncommitted changes and local configuration files.
You are solely responsible for: (i) ensuring you have all required permissions and rights to repositories you access; (ii) protecting your local credentials, SSH keys and authentication tokens; and (iii) complying with any employer, customer, or open-source repository policies.
5. Third-Party Software & Platforms
The Software runs within Microsoft Visual Studio Code and interacts with your local Git installation and third-party hosting services (such as GitHub, GitLab, or Bitbucket). This Agreement does not modify your existing license agreements or terms with Microsoft, Git, or any Git hosting provider.
Visual Studio Code, VS Code and the Visual Studio Marketplace are trademarks of Microsoft Corporation. Git is a registered trademark of Software Freedom Conservancy. GitPlace is independent software and is not affiliated with, endorsed by, or sponsored by Microsoft Corporation or Software Freedom Conservancy.
6. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
7. Limitation of Liability
IN NO EVENT SHALL GITPLACE, ITS CONTRIBUTORS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF DATA, WORK INTERRUPTIONS, OR REPOSITORY CORRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. Termination
This Agreement remains effective until terminated. You may terminate it at any time by completely uninstalling and deleting all copies of the Software from your systems. Licensor may terminate this Agreement if you breach any term hereof. Upon termination, all rights granted to you under this Agreement shall immediately cease.
9. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in India.
